Saudi Franchise Law: 14-Day Disclosure, 90-Day Registration

Saudi franchise law in practice: disclose 14 days before signing, register within 90 days, and the other 90-day deadlines brands miss.

Evaluating a franchise opportunity before signing

Saudi franchise law in practice: the short answer

The Saudi franchise law sets two clocks every brand must build into its sales calendar. The franchisor gives the investor the disclosure document at least 14 days before signing or before any payment, whichever comes first. Then the signed agreement and the disclosure document must be registered with the Ministry of Commerce within 90 days of signing. A substantial breach of either duty lets the franchisee walk away without paying compensation, and fines can reach SAR 500,000.

The 90-day clock then returns twice: when the parties or the term of the agreement change, and when the registration must be cancelled after the agreement ends. The Ministry of Commerce listed all of them among the six most common violations of the franchise system on 24 August 2026. This guide turns those rules into a working calendar. It sits under our pillar on building a franchise sales system in Saudi Arabia and the UAE, which covers the full path from first ad to signed agreement.

What must happen in the 14 days before signing?

Article 7 of the Franchise Law (Royal Decree M/22, published in English by the Ministry of Investment) requires the franchisor to hand over the disclosure document at least 14 days before the agreement is concluded, or from the date of the franchisee’s first payment, whichever comes first. A deposit taken before the 14 days have passed starts the problem, not the signature.

The 14 days are a study period, not a right to withdraw after signing. Okaz made this point on 25 August 2026, and listed what the investor should check in that window: fees and costs, operating obligations, the term, renewal and termination terms, transfer terms, and the support, training and supply arrangements. For a brand, this means the disclosure document is a sales document as much as a legal one. If it answers those questions clearly, the 14 days become the period in which trust is built. If it does not, they become the period in which the investor goes quiet.

Investors reading this from the other side will find the same logic in our ten checks before signing a franchise agreement.

When must a franchise agreement be registered, and what are the 90-day rules?

Article 6 of the law says franchise agreements and disclosure documents shall be registered with the Ministry and leaves the procedure to the Implementing Regulations. In its August 2026 warning, the Ministry of Commerce spelled out the timing as the same 90-day clock applied three times:

  • Registration: the agreement and the disclosure document within 90 days of signing.
  • Amendment: any change to the parties or to the term of the agreement within 90 days of the change.
  • Cancellation: a request to cancel the registration within 90 days after the agreement expires or ends, or after a court rules it void or terminated.

The law firm Bird & Bird, in its review of the law and its regulations, adds a practical order: the disclosure document is deposited before the agreement can be lodged. Brands that keep one approved disclosure template, updated when something material changes, register faster than brands that rewrite it for every investor.

Can a brand franchise before one year of operation?

No. Article 5 says the business must have operated for at least one year in at least two different points of sale, or by at least two persons, before a franchise is offered or granted. Okaz added two points that owners often miss: a registered trademark alone does not allow a brand to offer franchises, and a sub-franchise cannot be offered until the franchise has operated inside the Kingdom for at least one year. For a foreign brand entering through a master franchisee, the second rule shapes the whole roll-out plan.

What happens if a deadline is missed?

The consequences are commercial before they are administrative. Under Article 17, a franchisee may end the agreement by written notice, without paying compensation, if the franchisor substantially breaches its disclosure or registration duties. The franchisee must act within one year of learning of the breach, or three years from the breach, whichever comes first. Under Article 24, violations of the law or its regulations can be fined up to SAR 500,000, and the Ministry of Commerce accepts reports of violations through an electronic service.

Put simply, a late registration hands the investor an exit door for years. That is a weak position from which to negotiate a second unit.

Why does the timing matter more in 2026?

Because the pipeline is getting fuller. Saudi Arabia recorded 6,484 franchise registrations in the first nine months of 2026, 53% more than the 4,227 recorded at the end of 2025, with food and beverage, fuel and fashion leading, according to Asharq Al-Awsat on 1 November 2026. By the end of the second quarter, 1,514 franchise brands were operating in the Kingdom and 744 of them, about 49.1%, were local. We looked at what that shift means in Saudi Franchise Market 2026.

Support exists for brands that prepare. Monsha’at’s Franchise Center reported more than 2,300 brands using its franchise readiness service and 180 dispute settlement requests, according to Al Watan on 11 July 2026. More deals and more disputes mean investors ask about compliance earlier.

How do you build the two clocks into a franchise sales process?

  • Prepare the disclosure document before the first discovery call, not after the investor says yes.
  • Record the date the document is handed over and the date of any payment, in writing.
  • Take no deposit, reservation fee or training fee before day 14.
  • Set the 90-day registration deadline in the same system that tracks the deal, with one named owner.
  • Diary the amendment and cancellation clocks for every live agreement.
  • Keep fees and royalty logic consistent with the disclosure. Our guide on pricing a franchise helps here.

Frequently asked questions

Is the 14-day period a cooling-off period?
No. It runs before signing or before any payment, whichever comes first. It is time to study the disclosure document, not a right to cancel after signing.

Who registers the franchise agreement in Saudi Arabia?
The franchisor registers the agreement and the disclosure document with the Ministry of Commerce within 90 days of signing.

Does a renewal or a change of partner need a new registration?
A change in the parties or the term must be registered within 90 days of the change, according to the Ministry of Commerce.

What is the fine for breaching the Saudi franchise law?
Article 24 allows fines of up to SAR 500,000, and a substantial breach of disclosure or registration lets the franchisee terminate without compensation under Article 17.

Can a foreign brand appoint a master franchisee straight away?
The one-year operating rule applies to the business, and a sub-franchise cannot be offered until the franchise has run inside the Kingdom for at least one year. Plan the first year with that in mind.
