Nine red flags in franchise and business offers shared in Germany via WhatsApp or Facebook, what to check before paying, and what to do if you paid.
Franchise scam red flags in Germany: the short answer
Of the nine warning signs below, the five clearest franchise scam red flags in Germany are a promise of guaranteed or unusually high profits, pressure to pay before you have read the contract, money requested before documents, a seller you cannot link to a registered company, and screenshots in place of accounts. Our rule of thumb: one flag calls for a pause; three together usually mean you walk away.
If an offer is in front of you now: pay nothing yet, ask for the full contract and the exact company name, check that name in the commercial register, and get a second, independent reading through 7Grounds Deal Check before any money moves.
These offers rarely arrive through a broker. They come as a forwarded PDF in a WhatsApp group, a Facebook post about a café share in Dortmund, or a voice message from someone who knows someone. Many may be honest. Some are weak deals dressed up well, and a few are built only to collect a deposit. This guide belongs to our wider guide on buying a franchise or running business from Germany, and it focuses on one moment: the offer is in front of you and nobody has paid yet.
Is it a scam, a weak deal or simply the wrong deal?
Before the checklist, separate three situations, because each needs a different response:
- Fraud: there is no real business, or the person has no right to sell it. The goal is your deposit.
- A real but weak offer: the company exists and the brand is real, but the numbers, the location or the fees do not work.
- A sound offer that does not fit you: the system is serious, yet the capital, time or role it needs is not what you have.
An entry fee, ongoing royalties and a long contract are normal in franchising. The IHK Pfalz notes that ongoing franchise fees usually sit between 1 and 15 percent of net sales. What turns a normal offer into a warning is pressure, missing documents and a refusal to let you check.
What are the nine red flags in a franchise or business offer?
The first seven points below follow the warning list published by the IHK Pfalz franchise guide, adapted to the way offers now travel through messengers.
1. Guaranteed or unusually high profits
The IHK Pfalz lists high profit promises as a reason for special caution. The consumer advice centres go further: in their guide on social media investment offers, updated on 20 March 2026, the Verbraucherzentrale states that serious investments offer no guaranteed profits and that a total loss of the money invested is always possible. A hypothetical restaurant share that “pays 2,000 euros a month, guaranteed” is describing a promise, not a business. Check: ask for the last two years of accounts and the assumptions behind any forecast.
2. Pressure to decide today
“Only two places left”, “the price rises on Monday”, “another buyer is ready”. The IHK warns when there is not enough time to review the documents and the franchise contract. A serious franchisor expects you to take the contract to a lawyer. Check: say you need two weeks and watch the reaction.
3. Money before documents
Advance payments are on the IHK list for a reason. A “reservation fee” to hold a territory, a “processing fee” before the contract is sent, a deposit to see the accounts: each reverses the normal order. Check: no money moves before you hold the full contract, the disclosure documents and a written description of what the payment buys.
4. A seller you cannot tie to a company
An advert with only a phone number and no company address is another IHK warning sign. Since August 2022 the German commercial register can be searched online free of charge on the joint portal handelsregister.de, as the IHK Lahn-Dill explains. But a real entry only proves the company exists, not that the person writing to you may speak for it. Check: find the company’s own number in its Impressum or register entry and call that number, not the one in the message.
5. Payment to a private or unrelated account
If a GmbH asks you to pay into a private account, or into an account abroad under another name, stop. Since 9 October 2025, under EU Regulation 2024/886, banks must check whether the payee name matches the IBAN and show a match, close match or no match before you send, as the Deutsche Handwerks Zeitung reported on 18 September 2025. Check: treat a red or yellow result as a reason to stop, never as a technical glitch to click through.
6. No pilot unit and no figures
The IHK warns when a franchisor cannot show a pilot operation and refuses insight into business figures, and it describes two years of successful market presence with at least one pilot unit as the basis before building a network. Check: ask for the address of the pilot unit, visit it, and request revenue, costs and rent for the last two years.
7. No access to current franchisees
A franchisor who refuses to name reference franchisees is on the IHK list as well. Talking to people who already pay the royalties is the most honest test of a system. The German Franchise Association (Deutscher Franchiseverband) published a study on 11 May 2026 built on 8,160 franchisee surveys from 178 system checks across 131 systems, which shows how central franchisee satisfaction is to judging a system. Check: choose two or three franchisees yourself instead of accepting the ones you are given.
8. Rights, manual and fees that do not add up
The IHK also flags trademark rights that cannot be proven, a missing franchise manual and fees out of proportion to what the franchisor delivers. The German Patent and Trade Mark Office lets anyone search German trademarks free of charge in DPMAregister, and for EU marks it points to the EUIPO search TMview. Check: the owner of the mark should be the franchisor or a company that has licensed it to them in writing.
9. Screenshots and group praise in place of documents
The Verbraucherzentrale’s warning on WhatsApp groups, updated on 17 September 2026, describes groups run by an “assistant”, members told they belong to an exclusive circle, and small early gains shown to win larger payments. The police advice portal Polizei-Beratung warns about invented profits and charts. A cheerful voice note from a “partner” is not a balance sheet. Check: ask for documents you can verify with a third party: accounts, the lease, the register extract.
A quick checklist: what you hear and what to ask for
| What you hear | Red flag | What to ask for | Where to verify |
|---|---|---|---|
| “Fixed monthly profit, guaranteed” | Guaranteed returns | Two years of accounts | Your tax adviser |
| “Decide by tomorrow” | Time pressure | Two weeks to review | A lawyer you choose |
| “Small deposit to reserve” | Money before documents | Full contract first | IHK franchise guidance |
| “Call me on this number” | Unverifiable seller | Company name and register number | handelsregister.de |
| “Pay to my personal account” | Wrong payee | Company account in the company’s name | Payee check in your bank app |
| “The brand is ours” | Rights not proven | Registration or written licence | DPMAregister, TMview |
| “Look at these results” | Screenshots, not papers | Lease, accounts, references | Pilot visit, franchisee calls |
What should you do if you have already paid?
The Verbraucherzentrale advises acting fast: contact your bank at once, because a recent transfer can sometimes still be stopped; ask for card or PayPal payments to be reversed as fraud; send no further money however convincing the reason; keep screenshots of the chat and proof of payment; report the case to the police; and ask your local consumer advice centre if you are unsure. Its WhatsApp warning adds a second trap: so-called law firms that later offer to recover your money in return for an advance fee. Paying them usually means losing twice.
Where can you find safer franchise and business offers?
- The Franchiseverband lists member systems and runs the system check described above. Membership is a signal, not a guarantee.
- nexxt-change, the federal business succession exchange backed by KfW and partners such as the DIHK and the savings banks, reports 22,300 successful matches since 2006 and 431 regional partners offering free support on nexxt-change.org.
- Your local IHK for orientation, then a lawyer and a tax adviser you pay yourself.
- A second, independent reading of any offer you received, before money moves.

Frequently asked questions
Is a company with an HRB number automatically safe?
No. A register entry shows that the company exists and who represents it. It does not prove the offer is viable or that the person messaging you acts for that company.
Is an entry fee in a franchise a sign of fraud?
No. Entry fees and ongoing royalties are normal. The warning is a payment demanded before you have the contract, or a fee far out of proportion to the support offered.
Can I get my money back after signing?
It depends on the contract and on your situation, which is why the IHK lists the instruction on the right of withdrawal (Widerrufsrecht) among the points a franchise contract should cover. Ask a lawyer before you sign, not after.
What should a fair franchise contract contain?
The IHK Pfalz names the contracting parties, the subject of the contract, the duties of both sides, termination, contractual penalties, the withdrawal instruction, and the place of jurisdiction. If one of these is missing or vague, ask why.
Do I need BaFin to check a restaurant franchise?
Usually not, since a franchise is not a regulated financial product. If the offer is framed as an investment with returns and no role for you, BaFin’s warnings become relevant.
Is a contract translated by the seller enough?
No. The German contract is what binds you. Have it read by a lawyer you choose, in a language you fully understand.
