Guaranteed returns, pressure to pay, payments to personal accounts. Seven warning signs that appear again and again in bad deals across Türkiye and the Gulf, and how to protect yourself.
Investor protection
Distrust of intermediaries is common among investors in our region, and often for good reason. The best protection is not avoiding deals altogether. It is knowing what a bad deal looks like.
1. A guaranteed return or a very fast payback
No honest seller can guarantee a business’s profit. Payback periods also depend heavily on location, rent and management. Be especially careful with promises of payback in one year or less. Ask how the number was calculated and which existing branch has actually achieved it.
2. Pressure to pay quickly
“Another investor is ready to sign tomorrow” is one of the oldest sales tactics. A good opportunity survives a two-week review. In Saudi Arabia, the law itself requires franchisors to give the disclosure document at least 14 days before signing or payment.
3. Payment to a personal account, or in cash
Every payment should go to the company’s account, against a signed contract and an invoice. Personal accounts and cash leave you with no legal protection.
4. No verifiable numbers
Projections are not results. If the seller cannot show real sales and costs, or the books mix personal and business spending, you cannot value the business.
5. The trademark belongs to someone else
If the brand is not registered, or is registered to a different person or company, you may be paying for rights the seller does not have. See our trademark guide.
6. The landlord has not been asked
For a running business, the lease is often the real asset. Check that the lease can be transferred, how long it runs and how the rent is indexed (many leases are linked to foreign currency or inflation).
7. References you cannot choose
If you can only speak to franchisees the seller selects, you are hearing a sales pitch. Ask for the full list and call people yourself.
What to do instead
- Get every promise in writing.
- Pay only company-to-company, against a contract.
- Verify ownership, lease and trademark independently.
- Speak to a lawyer and an accountant before signing.
- Run the deal through our free Deal Check to see its weak points in two minutes.
